These Terms of Use (the “Terms”) govern your access to and use of the website located at https://panther.org (the “Website”) and any content, text, graphics, documentation, research, blog posts, announcements, and other materials made available on or through the Website (collectively, the “Materials”).

The Website is operated by Panther Protocol Foundation, a Swiss foundation (the “Foundation”, “we”, “us”, or “our”).

These Terms do not govern, and the Foundation does not provide, operate, control, or administer:

• Panther Protocol,
• any blockchain network,
• any smart contracts,
• any user interface to any blockchain protocol,
• any transaction processing, routing, execution, or settlement,
• any custody, exchange, brokerage, payment, investment, compliance, monitoring, or financial services of any kind.

Panther Protocol is decentralised software governed by the Panther DAO and an open ecosystem of contributors. The Foundation does not control or operate Panther Protocol.

By accessing or using the Website or Materials, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you must not use the Website.

The Website may contain or link to descriptions of technology, concepts, and potential or intended capabilities of software, including references to “Zones”, “compliance”, “DEX access”, “OTC”, “monitoring”, “rules”, or similar terms.

You acknowledge and agree that:

• Such descriptions refer to software concepts, designs, or capabilities of open-source or decentralised technology, not to services provided by the Foundation.
• The Foundation does not provide, operate, or offer any such functionality as a service.
• The Foundation does not provide KYC, KYT, KYB, transaction monitoring, compliance services, access to liquidity, routing, execution, or any financial or regulated services.
• The Foundation does not provide any enterprise services, hosted services, or managed services.

You may use the Website only if you:

• Are at least 18 years old or the age of majority in your place of residence, and
• Have the legal capacity to enter into these Terms or are authorised to do so on behalf of an organisation.

You agree to use the Website only for lawful purposes and in accordance with these Terms and applicable law.

You represent and warrant that you are not:

• The subject of sanctions administered or enforced by Switzerland, the United Nations, the European Union, the United States, or any other relevant authority, and
• Located, organised, or resident in a jurisdiction subject to comprehensive sanctions.

We may update these Terms at any time by posting a revised version on the Website. Your continued use of the Website constitutes acceptance of the updated Terms.

We may, at any time and without notice:

• Modify, suspend, or discontinue the Website or any part of it,
• Remove, correct, or update any Materials,
• Restrict or terminate access to the Website.

We are not liable for any modification, suspension, or discontinuance of the Website.

Nothing on the Website or in the Materials constitutes or should be construed as:

The Foundation:

• Does not operate, control, or administer Panther Protocol,

• Does not hold or control any user assets or private keys.

Any interaction with any blockchain, protocol, or smart contract occurs entirely outside the Website and at your own risk.

Blockchain technology, cryptographic systems, and decentralised software are experimental and involve substantial risk, including the risk of total loss.

The Foundation makes no representations or warranties regarding:

• Panther Protocol,
• any blockchain network,
• any smart contracts,
• any digital assets,
• any third-party software, systems, or services.

You acknowledge and agree that the Foundation bears no responsibility or liability for any losses arising from or related to any use of blockchain technology or any decentralised protocol.

The Foundation does not charge any fees for access to the Website.

Any blockchain transaction fees, taxes, duties, or other charges incurred in connection with any blockchain activity are entirely your responsibility and unrelated to the Foundation or the Website.

The Foundation or its licensors own all rights, title, and interest in the Website and Materials, except where otherwise stated.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Website and Materials for personal or internal informational purposes only.

Some Materials may be made available under open-source or other licences, which will govern their use.

You must not:

• Interfere with or disrupt the Website or its operation,

The courts of Zug, Switzerland shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms.
